Update:
I tried another program called winima80.exe from:
http://www.winimage.com/download.htm
same problem, black screen, crash, burn and reboot....

I use dual monitors and a program called ultramon (on both XP machines)
http://www.realtimesoft.com/ultramon/

I tried all 3 writing programs on XP with ultramon exited as well as using only 
one monitor, just in cast one of these items were the problem.  no joy :-(
